What are LLPs and BINs?
LLP (Limited Liability Partnership) in Kazakhstan
Registration of an LLP (Limited Liability Partnership) in Kazakhstan is one of the most common ways of doing business. It is a legal entity where participants (individuals or legal entities) are liable for the company’s obligations only to the extent of their contribution to the authorized capital.

- It is necessary to obtain an electronic digital signature (EDS) for online filing.
- If foreigners will be involved in the activities of the LLP, a visa and work permit for them will be required.
BIN (Business Identification Number)
BIN – Business Identification Number – a unique number formed for a legal entity and an individual entrepreneur carrying out activities in the form of joint venture on the territory of the Republic of Kazakhstan.
What is the BIN for?
BIN is an analogue of IIN for individuals, but for organizations. The BIN is used in all interactions with government agencies, including taxation, reporting and contracting.
Stages of LLP registration

Preparation of constituent documents: To register an LLP, a number of documents need to be prepared, including:
- Application for registration.
- The Articles of Association of the LLP is the main document regulating the company’s activities.
- Minutes of the general meeting of participants or the decision of the sole founder (if there is only one founder).

Selection of the name: The name must be unique and comply with legal requirements. It is registered in a special register to avoid duplication.

Selection of legal address: The address of the LLP may be a premises owned by the promoter, leased premises or any other permissible option.

Formation of authorized capital: The minimum authorized capital of an LLP in Kazakhstan is 100 tenge, but it can be increased depending on the company’s activities and business needs. The capital can be contributed either in cash or property.

Registration with the tax authorities: Once all documents have been submitted to the State Corporation “Government for Citizens” or through the eGov.kz e-government portal, the company is registered with the tax authorities. As part of this procedure, the LLP is assigned a BIN (Business Identification Number) – a unique number used to identify the company in the Kazakhstan tax system.

Obtaining a BIN: After successful registration of an LLP, the tax authorities assign a BIN to the legal entity – this is analogous to the IIN for individuals, but for organizations. The BIN is used in all interactions with government authorities, including taxation, reporting and contracting.
Documents for LLP registration
The following documents are required to register an LLP:
- Application for registration.
- Articles of Incorporation.
- Minutes of the founding meeting or a resolution of the sole founder.
- Certificate of legal address (lease agreement or proof of ownership).
